Terms of Service

By accessing or using the VSaaS.ai platform ("Platform"), including its services, tools, and applications, you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, you may not use the Platform.

These Terms form a legally binding contract between you (either as an individual or on behalf of an organization) and VSaaS.ai SpA, a company organized under the laws of the Republic of Chile, with operations in Chile and Mexico.

We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the service after we post changes constitutes your acceptance of the new Terms.

VSaaS.ai is a Video Analytics as a Service (VSaaS) platform that delivers:

AI-Powered Detection: Over 49 advanced AI models to detect objects, people, vehicles, behaviors, and events in real-time from your video streams.

Smart Toolset: A suite of 10 powerful tools for event management, forensic search, operator monitoring, detection tuning, a KPI engine, mobile alerts, a CAD/Dispatch system, and custom model training.

Industry Solutions: Turnkey applications for physical security, retail analytics, smart cities, and other sectors, built by combining our analytics and tools.

Flexible Deployment: Choose your deployment model: Edge (on-device), On-Premise (on your servers), or our AI Cloud (fully managed cloud infrastructure).

The service is offered on a subscription (SaaS) basis with plans designed to fit your needs.

When using the Platform, you agree to:

Lawful Use: Use the Platform only for lawful purposes and in compliance with all applicable laws in your jurisdiction, including those related to data protection, privacy, and video surveillance.

Consent and Signage: Ensure you have all necessary permissions, consents, and post required signage for video and image capture in areas monitored by cameras connected to the Platform, as required by local law.

Account Security: Keep your login credentials confidential and notify VSaaS.ai immediately of any unauthorized use of your account.

Responsible Use of Facial Recognition: If you use facial recognition or face matching features, you must comply with all applicable laws governing biometric data and obtain all required consents.

Accurate Information: Provide true and current information during registration and while using the Platform.

No Interference: Do not attempt to access unauthorized systems or data, or interfere with the Platform's operation.

Our Ownership: The Platform—including its source code, AI algorithms, detection models, design, interfaces, documentation, trademarks, and logos—is the exclusive property of VSaaS.ai and is protected by intellectual property laws.

License to You: VSaaS.ai grants you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for the duration of your subscription, solely for the purposes outlined in these Terms.

Your Data: Your video data, images, and configurations from your cameras belong to you. VSaaS.ai acts as a data processor and does not claim any ownership rights over your data.

Custom Models: Detection models you train using our Custom Training tool are your property, though they run on VSaaS.ai's infrastructure.

Restrictions: You may not copy, modify, distribute, decompile, reverse engineer, or create derivative works of the Platform without our express written permission.

Copyright Metadata: All images and illustrations on the VSaaS.ai website contain embedded EXIF/XMP copyright metadata. Removing, altering, or tampering with this metadata is a violation of these Terms and applicable intellectual property laws, including Chile's Intellectual Property Law (No. 17,336) and international treaties like the Berne Convention.

Scope: This section governs the use of all visual, text, and multimedia content on www.vsaas.ai and its subdomains. This includes our isometric illustrations, technical diagrams, platform screenshots, photos, icons, text, demo videos, and marketing materials.

Exclusive Ownership: All images, illustrations, graphics, and other visual content on our website are original works created by VSaaS.ai to showcase our technology. They are the exclusive intellectual property of VSaaS.ai SpA, protected by Chilean and international copyright laws.

Strictly Prohibited: Without our prior written consent, you may not: (a) Copy, download, screenshot, or reproduce any visual content from our website by any means. (b) Distribute, publish, or share our visual content on social media, other websites, or in marketing materials. (c) Modify, adapt, or create derivative works from our visual content. (d) Use our visual content for any commercial purpose. (e) Remove or alter any watermarks or copyright metadata. (f) Use web scraping or other automated tools to extract content from our site.

Technical Protections: We use technical measures to protect our content, such as disabling right-click and image dragging. Attempting to bypass these measures is a further violation of these Terms.

Requesting Permission: To request permission to use our content (e.g., for a press article or academic review), please email [email protected] with details about the content, purpose, and intended audience. We review each request on a case-by-case basis.

Fair Use: Nothing in these Terms is intended to limit rights of fair use or fair dealing under applicable law, such as for criticism, commentary, news reporting, or research, provided you give proper credit to VSaaS.ai.

Consequences of Unauthorized Use: Unauthorized use of our content may lead to: (a) A formal cease and desist notice. (b) A DMCA takedown notice. (c) Civil lawsuits for copyright infringement and damages. (d) Criminal charges where applicable. (e) Immediate termination of your business relationship with VSaaS.ai.

Subscription Plans: We offer the service on monthly or annual subscription plans. The prices, features, and limits for each plan are detailed on our pricing page.

Billing: We bill in advance at the start of each subscription period. Payments are processed through the accepted payment methods on the Platform.

Taxes: Our prices do not include applicable taxes like VAT or GST. Taxes will be calculated and added based on your jurisdiction.

Price Changes: We reserve the right to change our prices with at least 30 days' notice. Price changes will take effect at your next renewal.

Refunds: We don't offer refunds for partial periods of use. If you cancel, your service will remain active until the end of your paid subscription term.

Service Availability: We strive for 99.9% uptime (SLA), but we don't guarantee that the service will be uninterrupted, error-free, or meet all your specific needs.

Detection Accuracy: Our AI models provide detections with varying confidence levels. VSaaS.ai does not guarantee 100% accuracy and is not liable for decisions made based solely on the Platform's analytics.

Indirect Damages: In no event will VSaaS.ai be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, under any legal theory.

Liability Cap: Our total liability to you will not exceed the total amount you paid us during the 12 months before the event that gave rise to the claim.

Force Majeure: We are not responsible for failures caused by events beyond our reasonable control, such as natural disasters, internet outages, third-party service failures, or government actions.

Cancellation by You: You can cancel your subscription at any time through the Platform. Your cancellation will take effect at the end of your current subscription period.

Termination by Us: We may suspend or terminate your access if you: (a) breach these Terms, (b) use the Platform for illegal or unauthorized purposes, (c) fail to pay, or (d) pose a security risk.

Effect of Termination: Upon termination, your access to the Platform will be deactivated. Your data will be deleted according to our Privacy Policy. You will have 30 days to export your data before it is permanently deleted.

Survival: Clauses related to intellectual property, limitation of liability, indemnification, and jurisdiction will survive the termination of these Terms.

Uptime Commitment: VSaaS.ai commits to a minimum monthly uptime of 99.9% for our cloud services, excluding scheduled maintenance.

Scheduled Maintenance: We will provide at least 48 hours' notice for maintenance windows, which will be scheduled during off-peak hours whenever possible.

Technical Support: We offer technical support via email and chat during business hours (Monday to Friday, 9:00 AM to 6:00 PM, Chile Standard Time). Premium plans include 24/7 support.

Service Credits: If we fail to meet our uptime commitment, you may be eligible for service credits proportional to the downtime, according to our current credit policy.

These Terms are governed by and construed in accordance with the laws of the Republic of Chile, without regard to its conflict of law principles.

To resolve any dispute arising from these Terms, the parties submit to the jurisdiction of the ordinary courts of Viña del Mar, Chile, waiving any other jurisdiction.

The parties agree to first attempt to resolve any dispute amicably through a good-faith mediation process for 30 days before resorting to legal action.
